Corporate Counsel

City Light & Power, Inc. (CLP) is seeking an experienced, solutions-oriented
Corporate Counsel to join our team and serve as a Strategic Advisor ensuring legal conformity and protect the interests of CLP and affiliated companies by managing risk, liability, and financial exposure.
City Light & Power (CLP) has built a reputation as an innovative, reliable, and responsive private Utility Development Leader. We support the federal government, military institutions, municipalities, and major utilities across the US, with financing, design, engineering, construction, ongoing operations, maintenance, and ownership for electrical transmission, distribution, generation, and microgrid systems, as well as architectural, sports, and industrial lighting systems.
Duties And Responsibilities
- Draft, review, analyze and negotiate contracts, agreements, memoranda, and other legal documents to which the company intends to become a party.
- Provide timely, practical, business-oriented commercial contract advice to management.
- Draft, respond to or analyze RFIs, RFPs, RFQs or customer terms & conditions.
- Ensure compliance with company processes and procedures for contract approval and execution.
- Perform work on corporate law matters, including compliance with corporate laws, preparation of corporate resolutions, and maintenance of corporate records.
- Perform work on mergers and acquisitions.
- Provide legal advice and training to internal clients on a broad range of legal and regulatory compliance areas.
- Provide in-depth knowledge of employment law and have a comprehensive understanding of federal, state, and local employment laws and regulations.
- Provide in-depth knowledge of Government Contracts including Service Contract Act and Davis Bacon Act.
- Provide strategic legal advice to HR department and senior management on employment law matters including workers’ compensation.
- Contract Negotiation and Drafting: Provide expertise in drafting and negotiating employment contracts, severance agreements, non-compete agreements, and other related documents.
- Represent the companies in regard to all regulatory agency discussions and litigation filed against the companies, including coordination with and oversight of outside counsel and applicable insurance carriers.
- Manage outside litigation counsel budgets, fees and expenses and review and approve invoices.
- Perform other job-related duties and special projects as assigned by the CFO.

Qualifications & Skills
- Juris Doctor Degree from an ABA accredited law school
- Licensed to practice law in the State of Colorado
- Excellent undergraduate and law school academic record
- Minimum of two (2) years’ experience as either an in-house attorney or private practice attorney
- Must be knowledgeable and well-versed with CLP’s business and services.
- Expertise and experience with government contracts and related regulations
- Demonstrate an aptitude to learn and effectively apply legal knowledge in the business context
- Strong and effective communication skills required
- Demonstrated organizational and analytical skills with keen attention to detail
Travel
- Limited travel may be required
Other Requirements
- You must be a US Citizen
- You will be required to obtain Military Base Access Security Clearance.
- A valid driver’s license with a record that meets the CLP Fleet Policy

Salary Range
- $150,000-$190,000 based on experience plus eligible to participate in Short Term Incentive Plan.
- We reserve the right to pay more or less than the posted salary range based on factors unrelated to sex.
